If you are interested in starting a business you are encouraged to:
– do extensive research;
– prepare a business plan; and
– speak with a lawyer and a financial advisor, such as your accountant, to gain a broader understanding of the financial and legal advantages and disadvantages of the different business structures.
The three most common ways of carrying on business in New Brunswick are:
Sole proprietorship – a business owned and operated by one person in his personal capacity.
Partnership – a business owned and operated by two or more people having either equaled or unequal interests in the enterprise.
Corporation – a legal entity which is separate from its owners, the shareholders and which is run by a director or a group of directors for the benefit of the corporation’s shareholders.
A volume of beneficial information is available through a variety of sources including Forms of Business Organization, the Corporate Affairs Branch of Service New Brunswick as well as your local public library.
If you are thinking of incorporating a business or changing an existing corporate structure we would be pleased to assist you. Our Incorporation Information Checklist can be completed and sent to us to ensure that we have current accurate information upon which to discuss your incorporation needs. Please also read our Corporate Info Sheet.
We also provide Corporate Minute Book management to ensure that your minute book is kept up to date – often with the assistance of your accountant, ensuring that your company’s corporate status is maintained in good standing.
